This Affiliate Agreement (“Agreement”) is made between UICORE SRL (“UiCore”, “Company”, “we”, “us”, or “our”) and you (“Affiliate”, “you”). By applying to and participating in the UiCore PRO Affiliate Program (“Program”), you agree to all terms set forth herein.
Your participation in the Program is solely for the purpose of legally promoting our website and earning commissions on qualifying sales generated through your unique affiliate link.
1. General Requirements
1.1 Self-Invoicing
UiCore uses a self-invoicing system for affiliate payouts. By participating in the Program, you authorize UiCore SRL to issue invoices on your behalf for all affiliate commissions earned. You agree that such invoices will be considered valid for tax and accounting purposes under Romanian law.
1.2 Payment Schedule
Commissions are paid monthly, approximately 30 days after the end of the previous month.
1.3 Pending Period & Refunds
Payments remain pending for 31 days to accommodate our 30-day money-back guarantee.
Refunded transactions do not generate commissions. If already paid, refunded commission amounts will be deducted from future payouts.
1.4 Payout Methods
UiCore pays commissions only via PayPal or Wise. You are responsible for providing accurate payout information and for any fees charged by these services.
1.5 Promotion Review
All content, methods, and promotional activities are subject to UiCore’s review. UiCore retains full discretion over what is permitted.
1.6 Brand & IP Rights
All UiCore trademarks, logos, and creative assets are owned exclusively by UICORE SRL. Unauthorized use is prohibited.
1.7 Right to Modify
UiCore may update these terms at any time. Continued participation constitutes acceptance of all modifications.
1.8 Right to Terminate
UiCore may suspend or terminate any affiliate account at any time, with or without cause.
2. Cookie Tracking & Attribution
2.1 Cookie Lifetime
Affiliate cookies are valid for 60 days from the user’s first visit through an affiliate link.
2.2 First-Click Attribution
UiCore uses a first-click attribution model. The commission will be awarded to the affiliate whose link the customer visited first, regardless of subsequent affiliate links visited.
3. Approval or Rejection of Applications
UiCore reserves the absolute right to approve or reject any Affiliate Program application at its sole discretion. No explanation is required, and no legal recourse is available.
4. Commissions
4.1 Commission Rate
Affiliates earn 50% of the net amount paid by referred customers.
4.2 Eligibility Requirements
Commissions are earned only when:
- The customer remains active for a minimum of 31 days;
- The transaction is completed without refund or chargeback;
- The sale is valid, legitimate, and not fraudulent.
4.3 Commission Applies to First Purchase Only
Commission is earned exclusively on the customer’s first purchase only.
No recurring, renewal, or subsequent payments qualify for commission.
4.4 Self-Referrals Prohibited
You may not use your own affiliate link to purchase UiCore products.
4.5 Invalid Transactions
Commissions will not be paid on:
- Refunded purchases
- Chargebacks
- Fraudulent or suspicious transactions
- Violations of Program rules
4.6 No Minimum Payout
There is no minimum payout threshold.
4.7 Payment Methods
Commissions are issued exclusively through PayPal or Wise, according to the details you provide.
5. Termination
Your affiliate account may be terminated for any of the following:
- Misleading or inappropriate advertisements
- False claims about UiCore products
- Spamming (email, messaging, comments, etc.)
- Promotion on illegal or inappropriate websites
- Failure to disclose affiliate relationships when required by law
- Unauthorized use of UiCore trademarks, copyrights, or branding
- Offering rebates, coupons, cashback, or incentives tied to commissions
- Bundling UiCore products with unrelated items in misleading ways
- Attempted self-referrals or manipulation of tracking
- Any violation of this Agreement
UiCore may terminate any affiliate account at any time, with or without cause.
6. Affiliate Links
6.1 You may place affiliate links on your website, social media, emails, and other permitted channels.
6.2 You may create your own promotional materials only if:
- They are accurate and professional
- They do not misrepresent UiCore products
- They comply with our brand standards
- They do not violate any part of this Agreement
7. Coupons & Deal Sites
UiCore occasionally offers exclusive coupons to selected affiliates.
If you are not explicitly authorized to use a coupon:
- You may not promote it
- You may not imply coupon availability
- You may not use misleading terms or descriptions
Additional restrictions:
- No bidding on “UiCore coupon”, “UiCore discount”, or similar keywords
- No pop-ups, pop-unders, iframes, or hidden triggers that set affiliate cookies
- No “Click to reveal coupon” messages if no valid coupon exists
Violators will be removed immediately
8. Pay-Per-Click (PPC) Policy
PPC bidding is NOT allowed without UiCore’s prior written permission.
Violations result in immediate termination.
9. Liability
UiCore is not liable for any:
- Loss of revenue or commissions
- Tracking failures
- Technical issues or outages
- Data loss
- Errors or interruptions
No expressed or implied warranties are made regarding Program performance.
10. Term of Agreement
This Agreement remains in force from the moment your application is accepted until terminated by either party.
Changes to the Agreement are effective upon posting. Continued participation constitutes acceptance.
Your sole remedy if you disagree with any changes is to terminate your affiliate account.
11. Indemnification
You agree to indemnify and hold harmless UiCore, UICORE SRL, and all related officers, employees, agents, and representatives from any claims or damages arising from:
- Your negligence or misconduct
- Violation of this Agreement
- Breaches of disclosure laws
- Misrepresentation or illegal activities
12. Governing Law
This Agreement is governed by the laws of Romania, without regard to conflict-of-law principles.
13. Electronic Signatures
By submitting your application, you create an electronic signature indicating full acceptance of this Agreement and all related terms.
